End User License Agreement

This End User License Agreement ("EULA") is the licence for the Spidx Uploader software (the "Software"): the Windows application, the panels and plugins for supported editing software and the helper programs that come with them. It is an agreement between you and Spidx ("we", "us"). The Terms of Service and the Privacy Policy also apply. By installing or using the Software you accept this EULA.

1. Which licence you have

Which features each licence unlocks is described on the product page and in the App. We may add features to a licence. We will not take away a paid feature you bought, except as the Terms of Service allow.

2. What you may do (all licences)

We grant you a non-exclusive, non-transferable, revocable licence (revocable only as section 8 says) to install and use the Software on your own computers, for your own work and for work you do for clients, within the limits of your licence.

5. Online checks, updates and your data

To use the Pro features, the Software checks your licence online (it sends your Google sign-in token, the device identifier and the computer name to our licence service) and can keep the result on your computer for a short time so it keeps working briefly if you are offline. The Software also checks GitHub for updates. The Privacy Policy explains what is sent and why.

The Software can update itself and its plugins when you choose to install an update. Updates are free for everyone: users of the free version, Pro License holders and Pack buyers receive updates of the App and of the products they bought at no extra charge. A separate new product (for example a future pack with a different name) is not an update and may be sold separately; the product page says so before you buy.

6. Third-party components

The Software uses third-party software, some of it open source, that is licensed under its own terms. Those terms apply to those components, not this EULA. A list of components and their licences is included with the Software (the file THIRD-PARTY-NOTICES.txt in the installation folder). Nothing in this EULA limits your rights under an open-source licence.

7. Ownership

The Software, including its code, design, graphics, name and documentation, belongs to us or our licensors and is protected by copyright and other laws. You receive a licence to use it; you do not receive ownership. Your own files and projects remain yours. Product and company names of others belong to their owners; we are not affiliated with them.

8. Ending the licence

You may stop using the Software at any time and uninstall it.

We may end your licence if you materially breach this EULA (for example by sharing licence codes or tampering with the licence check) and, where it can be fixed, you do not fix it within a reasonable period after we asked you to. If we end a paid licence for another reason, we will refund the price as the Terms of Service describe. When a licence ends, you must stop using the Software. Sections that by nature continue (ownership, limits of liability, governing law) continue.

9. Warranty and liability

Your statutory rights as a consumer are not affected. Beyond them, and as far as the law allows, the Software is provided "as is" and we give no other warranty. Our liability is limited as set out in section 10 of the Terms of Service.

10. General

This EULA and the documents listed in the Terms of Service are the whole agreement about the Software. If a part is invalid, the rest stays in force. We may transfer our rights and duties under this EULA to a successor of the business if your rights do not suffer. These documents are governed by the law of Poland. If you are a consumer, you also keep the protection of the mandatory rules of the country where you live, and you may bring a claim in the courts of that country. If you are a business, the courts competent for our seat decide.
